	The purposes of this meeting are as follows:
	1. To elect the three individuals listed in the accompanying Proxy Statement to the Board of Directors of the Company, each to serve until the next annual meeting of stockholders of the Company or until such person shall resign, be removed or otherwise leave office; 2. Ratify the appointment of Fitzgerald as the Company’s independent public accounting firm for the years ending December 31, 2022 and 2023; 3. To approve the compensation of our named executive officers as disclosed in this Proxy Statement; 4. To approve the amendment of the Company's Amended and Restated 2011 Equity Incentive Plan to increase the maximum number of shares of common stock of the Company that may be issued and sold from 1,320,000 to 1,520,000 shares; and 5. To transact such other business as may properly come before the Meeting or any adjournment thereof.
