Item 1.01 . Entry into a Material Definitive Agreement
On July 14, 2021, Labor Smart, Inc. (the “Company”)
entered into a Purchase and Sale Agreement (the “Agreement”), whereby the Company sold all of the assets and liabilities related
to its staffing business the (“Staffing Business”) to the former Chief Executive Officer of the Company. The Company, pursuant
to the Agreement, sold the Staffing Business for a purchase price of $500,000, $300,000 of which has been received by the Company, with
the additional $200,000 to be received within 90 days from the date of the Agreement.
The foregoing description of the above referenced
