On December 20, 2022, Ernest M. Stern resigned as a member of the Board of Directors of the registrant (“Mymetics”). Mr. Stern was a member of the Audit Committee. Mr. Stern continues in his role as s a partner in the law firm of Culhane Meadows PLLC, which serves as outside U.S. counsel of Mymetics,
