Resignation of Eric Prouty
Effective November 14, 2022, Eric Prouty
resigned as a non-executive director from board of directors of Pacific Green Technologies Inc. (“we”, “us”, “our”,
the “Company”). Mr. Prouty’s resignation did not result from any disagreement with the Company regarding our policies,
practices, or otherwise.
