ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On January 4, 2008 The Resourcing Solutions Group, Inc. entered into Promissory Note  with Tritent International Corporation, 100 Overlook Center – First Floor , Princeton, New Jersey 08540. The note is legally enforceable by its terms against The Resourcing Solutions Group, Inc. and all its assets in the event that The Resourcing Solutions Group, Inc. defaults on the Promissory Note.
