Item 9. THE NATURE OF THE ISSUER'S BUSINESS:
In the new digital world, text messaging and emailing are the
primary ways most people communicate. There are many
positives to this, but negatives as well. Flooding the news
waves recently is the problem of bullying, which is becoming an
epidemic throughout the World. Sexting, or teenagers sending
messages with nude pictures of themselves or other sexual content
to multiple recipients, has become another major problem.
Pedophiles and child molesters use the Internet to set up
unsuspecting children for meetings, where the child gets kidnapped
and/or sexually abused. Use of cell phones in schools for
texting during classes is also a major problem for teachers.
There are a variety of products available to counteract some of
these problems, but none that cover everything. Safe
Communications, Inc. (SAFE) is building a secure, protected web
site for children, teenagers or anyone wanting to protect
themselves or others from abuse stemming from vulgar, sexual or
bullying emails or txt messages. With newly developed, patent
pending technology, the SAFE site will filter and screen all
incoming and outgoing emails or txt messages for potentially
harmful content. If the content is questionable, the
email/text is automatically blocked from reaching the child and
forwarded to the parent for clearance. Once the parent
approves the content, he/she can forward it to the child. For
younger children, the site will have a function that allows parents
to approve any contacts that the child has. Correspondence sent by
or to the child by unapproved contacts will be diverted to the
parent for approval. Another problem facing teachers in school is
the constant use of text messaging during classes. With our
patent-pending system, a parent can program the cell phone to only
have access to text messaging during certain hours, or the parent
can turn the cell messaging off during school hours.
The SAFE website is being developed to screen web mail (such as
Gmail, Yahoo, etc.) and text messages from all carriers (such
as Verizon, T-Mobile, AT&T, Sprint, etc). The site is
expected to include the functionality to also screen social
networks, such as Facebook and Twitter. Using proprietary
licensed technology, the site is being designed to allow parents to
search the internet for any mention of a child on blogs, Twitter,
Facebook, MySpace, and other social sites, reporting these
conversations to the parent monthly, weekly or daily.
The SAFE website is still under development and the Issuer may
encounter difficulty in including one or more of the planned
functionalities into the SAFE site.
The SAFE website will contain resources advising parents how to
handle children that are being bullied or doing the bullying, and
where to go to for help for these problems. The website will
contain daily news on bullying, sexting and any new methods or
laws, or proposed legislation dealing with the problem.
ANONYMOUS TIPS: This is a tip line that is truly anonymous.
The tip line will be linked to various law enforcement
agencies and schools throughout the country. A sender need
only click on the State and city in which the school or law
enforcement agency is located, report the problem on a template and
send the message. The email cannot be traced back to the
sender.
The Issuer believes that the Safe Communications web site will
be the safest, most informative portal on the internet to
counteract the bullying/sexting problem via email or text
messaging. The email, texting and Anonymous Tips technology will be
free to all subscribers.

John Venners: President/CEO –
Mr. Venners has over 35 years of experience in developing and
managing private and public companies. He began his business
career after working at the White House Office of Emergency
Preparedness during the 1973-74 national crises. Venners
realized early on the importance and benefits of understanding
public policy and government initiatives in developing new, early
stage companies. He was co-founder of KFx, Inc. which traded
on the NYSE. In addition, he teamed up with Sumitomo Corp to
introduce new, innovative technologies to the North American
market. Venners founded and managed numerous entities
involved in international trade. He has been quoted on
numerous occasions, including in the Wall Street Journal, Business
Week, the New York Times, the
Washington Post, and has traveled the world extensively on behalf
of his various business ventures.
David Garafano: COO –
Mr. Garafano is a visionary executive with high-tech experience
ranging from semiconductors to complex network communications
systems. He is an expert at developing and executing
high-tech business strategies and has led several businesses to
financial success. He is the founder of DCG Consulting and
Advisory Services, a firm that specializes in helping companies
develop advanced technologies and achieve world class business
results. Previously he was a VP at ON Semiconductor where he
transformed an underperforming division into the market leader,
growing annual revenue at triple the industry average to
$223M and increasing EBITDA by 100
percent per year to $80M. Mr.
Garafano was a co-founder and director of Celiant, the largest and
most profitable power amplifier company with annual sales of
$350 million. He expanded the
relationship with Lucent Technologies and negotiated a multi-year

Brian T. Kennedy is President of
