State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

As previously disclosed in a current report on Form 8-K filed on July 21, 2023, EVmo, Inc. (the “Company”) is currently unable to satisfy certain of its debts and related obligations in the ordinary course of business and has received several event of default notices from multiple creditors. In addition, the Company continues to negotiate a possible merger transaction with a potential acquirer, micromobility.com, Inc., a Delaware corporation, as previously disclosed in a current report on Form 8-K filed on June 9, 2023.

 

Due to the considerable time and resources that management has had to devote to the foregoing, the Company is unable to timely file its quarterly report on Form 10-Q for the period ended June 30, 2023 (the “Form 10-Q”) without unreasonable effort or expense. At this time, the Company cannot estimate when it will be able to file the Form 10-Q, if at all.
