Swedbank's Nomination Committee - proposal to the Annual
General Meeting on 26 March 2025

Re-election of
the following Board members: Göran Persson, Göran Bengtsson, Annika
Creutzer, Hans Eckerström, Kerstin Hermansson, Helena Liljedahl,
Anna Mossberg, Per Olof Nyman, Biljana Pehrsson and Biörn
Riese.

Election of
Rasmus Roos.
·
Göran Persson is
proposed as Chair of the Board of Directors.
·
Election of
Öhrlings PricewaterhouseCoopers AB as external
auditor.
The Nomination Committee's proposal entails that the number of
Board members elected by the general meeting should be eleven, i.e.
one more than in 2024, of which six are men and five are
women.
Rasmus Roos has extensive
experience from the banking and finance industry. He has held
various senior management positions in Sparbanken Finn, Sparbanken
Öresund, and Sparbanken Skåne. He is CEO in Sparbanken Skåne since
2021.
Independence according to the
Swedish Corporate Governance Code
All proposed Board members, except
Göran Bengtsson and Rasmus Roos, are considered independent in
relation to the bank and the management of the bank. All proposed
Board members are considered independent in relation to the major
shareholders of the bank.
The Chair of the Nomination
Committee, Lennart Haglund, comments:
"The work in the Board of Directors
is functioning very well under the leadership of Göran Persson and
has continued to develop positively during the year. To further
strengthen the Board of Directors competence within banking, the
Nomination Committee has decided to nominate Rasmus Roos, CEO at
Sparbanken Skåne, to the Board of Directors".
The Nomination Committee proposes
that the lawyer Wilhelm Lüning is appointed Chair of the Annual
General Meeting 2025.
The Nomination Committee consists of
the following members: Lennart Haglund,
Chair, (Sparbankernas Ägareförening), Ylva Wessén (the owner-group
Folksam), Annette Björkman (the owner-group Sparbanksstiftelserna),
Anders Oscarsson (AMF and AMF Funds), Magnus Tell (Alecta
Tjänstepension), and Göran Persson (Chair of the Board of Directors
of Swedbank).
The entire proposal of the
Nomination Committee, including proposal on remuneration for Board
members and auditors, Principles on how the Nomination Committee
shall be appointed and Instruction for the Nomination Committee,
will be presented in connection to the convening notice for the
Annual General Meeting and be available on Swedbank's
website.
