an issue of £350,000,000
6.250 per cent.
Notes due 22 January 2045 (the "2045 Notes")
The 2033 Notes, 2037 Notes and the
2045 Notes are each unconditionally and irrevocably guaranteed
by Motability Operations Limited and are to be issued under the
£15,000,000,000 Euro Medium Term Note Programme established by
Motability Operations Group plc.
The Final Terms in respect of the
2033 Notes, the Final Terms in respect of the 2037 Notes
and the Final Terms in respect of the 2045 Notes,
respectively, must each be read in conjunction with the Offering
Circular dated 30 May 2024, as supplemented by the
Supplement dated 9 January 2025, including all documents
incorporated by reference (together, the "Offering Circular") which together
constitute a base prospectus for the purposes of Regulation (EU)
2017/1129 as it forms part of United Kingdom domestic law by virtue
of the European Union (Withdrawal) Act 2018, as amended, in order
to obtain all the relevant information.
