Miscellaneous: cancellation of admission to trading on AIM
On 18 July 2003, the boards of Alphameric plc ("Alphameric") and Compass
Software Group Plc ("Compass" and "the Company") announced that they had reached
agreement on the terms of a recommended offer ("the Offer") to be made by
Investec Investment Banking on behalf of Alphameric to acquire the entire issued
and to be issued ordinary share capital of Compass. The Offer was declared
wholly unconditional on 18 August 2003 following the receipt of valid
acceptances representing in excess of 90 per cent. of the issued share capital
of Compass.
On 10 October 2003, Alphameric announced that, as valid acceptances representing
more than 90 per cent. of Compass's issued share capital had been received, it
had commenced the procedure for the compulsory acquisition of all remaining
Compass shares under the provisions of sections 428 to 430F of the Companies Act
1985 (as amended). This procedure was completed on 21 November 2003.
Alphameric also announced on 10 October 2003 confirmation of its intention, set
out in the document sent to the shareholders of Compass setting out the terms of
the Offer, to apply to the London Stock Exchange for the cancellation of
admission to trading on AIM of Compass Shares. Following the completion of the
compulsory acquisition procedure under the provisions of sections 428 to 430F of
the Companies Act 1985 (as amended) this application has now been made and the
admission to trading of Compass' shares on AIM will cease at the close of
business on Friday 12 December 2003.
