    Bear Stearns Private Equity Limited (the "Company") announces that it has accepted the following shares tendered to it at the applicable
Net Asset Value per share as at 30 June 2008: 

    18,478,066 equity shares at a price of USD1.85 per share. 

    1,233,836 zero dividend preference shares at a price of 51.31 pence per share.  

    The date of the purchase will be 6 August 2008. Cheques will be despatched / CREST accounts will be credited on 6 August 2008 in respect
of the shares tendered.  
      
    The shares tendered will be held as treasury shares. As a result of this tender offer, the Company holds 19,875,830 equity shares and
1,508,658 zero dividend preference shares in treasury. Immediately following the tender offer the Company's issued share capital will
consist of  274,166,383 shares of 0.01p (excluding treasury shares) each classified as equity shares, and 57,963,001 shares of 0.01p
(excluding treasury shares) each classified as zero dividend preference shares.  

    Therefore the total number of voting rights in the Company is 274,166,383 for the equity share class and 57,963,001 for the zero
dividend preference share class. These figures may be used by shareholders as the denominator for the calculations by which they will
determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and
Transparency rules.
