DIVIDEND PROPOSAL ROLINCO

In a meeting held on 3 March 1998, the supervisory board and the management
board of Rolinco N.V. agreed to propose to the general meeting of shareholders
to pay a cash dividend of fls. 1.52 per ordinary share for the financial year
1997 (for the financial year 1996, a cash dividend of fls. 1.84 was paid).

Rolinco's annual report will be published on Wednesday, 25 March 1998.  The
annual general meeting of shareholders will be convened in Rotterdam on
Thursday, 23 April 1998.  Rolinco shares will be quoted ex dividend from 24
April 1998.
