    TOUCHSTONE GROUP PLC (the "Company")

    Issue of Equity


    Touchstone Group plc announces that at a board meeting held on 30 May 2008 it allotted 380,899 new ordinary shares and 250,000 existing
ordinary shares currently held in treasury in the Company in order to part satisfy the final stage of the deferred consideration as agreed
under the terms of its acquisition agreement with ETC Global Solutions Limited in March 2007. 

    Application will be made at the earliest practicable opportunity for admission of the 380,899 new ordinary shares to trading on the AIM
market of the London Stock Exchange.

    The enlarged issued share capital of the Company now consists of 12,871,686 ordinary shares of 10p each.
