Annual General Meeting 2024 -
results of voting
Following the Annual General Meeting
("AGM") held on 10 September 2024 at 10.45 a.m. at The Groucho
Club, 45 Dean Street, London W1D 4QB the Company announces the
results of the vote for each of the resolutions set out in the
Notice of the AGM dated 30 July 2024 (Resolutions). All the
Resolutions were duly passed.
The AGM was compliant with the legal
requirements for the AGM in accordance with the Company's Articles
of Association. It had the necessary quorum present and was purely
functional and comprised only of the formal votes for each
Resolution.
Resolutions 1-9 were passed as
Ordinary Resolutions and Resolutions 10 and 11 were passed as
Special Resolutions.
Details of the voting at the AGM by
proxies received in respect of each resolution are shown in the
table below:
