On October 2, 2024, Genius Group Limited (the “Company”) has confirmed that it is in the process of engaging counsel to conduct an independent investigation into allegations related to LZG International Inc, its principals, and potential irregularities related to LZGI’s subsidiary, FB Primesource Acquisition LLC and its assets, and LZGI’s asset purchase agreement and transaction with the Company.

In addition, the Company is also in the process of engaging The Basile Law Firm P.C. as its general litigation counsel.

The Company and its Board of Directors will await the results of the investigation prior to making any definitive assessment on the status of the transaction and actions to be taken. Due to the material impact such an assessment and such actions may or may not have, the Company is withholding finalization of its 2024 first half financial results and is withdrawing 2024 guidance at this time.
