Issue of new ordinary shares

Henderson Morley plc announces that the Board has, today, issued and allotted a
total of 2.5 million new ordinary shares through a further placing at 1.5 pence
per share, raising a further #37,500 in addition to the #347,600 for the Company
raised in the Placing announced earlier today.

The proceeds of this placing will be used to fund additional working capital for
the Company.

Application has been made for the new shares to be admitted to AIM and trading
in the new shares is expected to commence on Wednesday 14 May 2003.
