Item 3.01     Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

As previously disclosed, on January 23, 2024, Hyzon Motors Inc. (the “Company”) received a letter (the “Notice”) from the listing qualifications staff (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that the bid price of its Class A common stock, par value $0.0001 per share (the “Common Stock”), had closed at less than $1.00 per share over the previous 30 consecutive business days, and, as a result, did not comply with Listing Rule 5450(a)(1) (the “Minimum Bid Price Rule”). Therefore, in accordance with Listing Rule 5810(c)(3)(A), the Company was provided 180 calendar days, or until July 22, 2024, to regain compliance with the Rule. Subsequently, on July 5, 2024, the Company applied to transfer its Common Stock and public warrants to the Nasdaq Capital Market from the Nasdaq Global Select Market and, on July 25, 2024, the Common Stock and public warrants began trading on the Nasdaq Capital Market. On July 23, 2024, the Staff determined that the Company was eligible for an additional 180 calendar day period, or until January 21, 2025, to regain compliance with the Minimum Bid Price Rule.

On August 20, 2024, the Company received notice from the Staff indicating that the bid price for the Company’s Common Stock had closed below $0.10 per share for the 10-consecutive trading day period ended August 19, 2024 and, accordingly, the Company is subject to the provisions contemplated under Nasdaq Listing Rule 5810(c)(3)(A)(iii) (the “Low Priced Stocks Rule”). As a result, the Staff determined to delist the Company’s Common Stock from the Nasdaq Capital Market (the “Delisting Determination”). The notice provides that the Company may appeal the Staff’s Delisting Determination to a Hearings Panel (the “Panel”), pursuant to the procedures set forth in the Nasdaq Listing Rule 5800 Series. A hearing request will stay any further action pending final resolution of the Panel or any extension provided by the Panel.

The Company intends to appeal Nasdaq’s Delisting Determination and will timely submit a plan to the Panel to regain compliance with the Nasdaq Listing Rules, including a commitment by the Company to effect a reverse stock split, if necessary, assuming that the stockholders approve “Proposal 2 – Approval of Reverse Stock Split,” as further described in the definitive proxy statement filed by the Company with the Securities and Exchange Commission on July 29, 2024, at the annual meeting of stockholders of the Company scheduled for August 21, 2024.

Notwithstanding the Company’s intention to request a hearing, there can be no assurance that the Panel will grant the Company any compliance period or that the Company will ultimately regain compliance with all applicable requirements for continued listing on the Nasdaq Capital Market.
