Item 2.02. Results of Operations and Financial Condition.

On March 3, 2022, the Registrant issued a press release announcing its financial results for the quarter ended December 31, 2021 and declared a dividend of $0.10 per share payable on March 31, 2022 to stockholders of record at the close of business on March 15, 2022. The text of the press release is included as Exhibit 99.1 to this Form 8-K.
