PITTSBURGH, Nov. 30, 2020 /PRNewswire/ -- CNX Resources
Corporation (NYSE: CNX) ("CNX") today announced the closing of its
private placement of $500.0 million
aggregate principal amount of its 6.00% senior notes due 2029 (the
"Notes"). The Notes were offered under an indenture, dated
November 30, 2020 (the "Indenture"),
among CNX, the subsidiary guarantors party thereto and UMB Bank,
N.A., as trustee. The Notes are guaranteed by all of CNX's
wholly-owned domestic restricted subsidiaries that guarantee its
revolving credit facility.
CNX intends to use the net proceeds of the sale of the Notes for
general corporate purposes, including to repay existing
indebtedness under CNX's revolving credit facility.
The Notes have not been, and will not be, registered under the
Securities Act of 1933, as amended (the "Securities Act"), or any
state securities laws and may not be offered or sold in
the United States except pursuant
to an exemption from, or in a transaction not subject to, the
registration requirements of the Securities Act and the rules
promulgated thereunder and applicable state securities laws. The
Notes will be offered only to persons reasonably believed to be
qualified institutional buyers in reliance on Rule 144A under the
Securities Act and non-U.S. persons in transactions outside
the United States in reliance on
