                   Advanced Power Components plc ("APC plc")
    Acquisition of Silver Birch Marketing Limited and GO! Technology Limited


The board is pleased to announce that on 1 August 2003 APC plc entered into an
agreement to acquire the entire issued share capital of Silver Birch Marketing
Limited ("SBM") and GO! Technology Limited ("GO!").

SBM is based in Buckden in Cambridgeshire and is a manufacturers' representative
and distributor of electronic components and displays to commercial and
industrial markets.

GO! operates from the same premises as SBM and is also a supplier of electronic
components, specialising in the turnkey supply of complete material kits ready
for production.

The consideration payable by APC plc to acquire SBM and GO! comprises 1,250,001
APC plc ordinary shares of 2p each ("Ordinary Shares") and #137,500 cash payable
on completion. In addition, a deferred consideration could also become payable
dependant upon performance of the acquired businesses during the next 12 months.
This deferred consideration would not be expected to exceed #100,000 cash.
Completion of the agreement is conditional on the Ordinary Shares forming part
of the consideration being admitted to AIM.

On 31 July 2003 the combined net assets of both SBM and GO! totalled #43,000.

Upon completion William I. McAteer will be appointed to the board of APC plc. Mr
McAteer is currently the managing Director of SBM and the major shareholder in
SBM and GO! Further details regarding Mr McAteer will follow in a separate
notification to be released upon his appointment to the board.

Unaudited accounts for the year ended 31 December 2002 show that SBM achieved
sales of #837,409 and an operating profit of #12,953. For the same period, GO!
achieved sales of #725,882 and an operating profit of #7,415.

Application will be made for a total of 1,250,001 Ordinary Shares to be admitted
to AIM. Admission is expected to become effective by 8 August 2003.
