"Agreements"). Under the Agreements the Company will acquire all of the
assets of Mountain being approximately 39,000 net acres and 25 producing
wells located in the Bourbon and Crawford Counties, Kansas and the
remaining 50% membership interest in Bourbon County Pipeline LLC ("BCP")
that it does not already own (the "Acquisition"). The Company will then
own a 100% membership interest in BCP which owns and operates a natural
gas gathering system located in Bourbon County, Kansas. As
consideration for the Acquisition, the Company shall issue a total of
3,000,000 common shares to Mountain and RFP.

to a Letter of Agreement dated March 17, 2008 with four arm's length
vendors, whereby the Company has the option to acquire 100% in 10 claims
located 30 kilometres north of the town of La Tuque, Province of Quebec,
upon fulfilling the following conditions:

(a) The issuance of 250,000 common shares of the Company in favour
of the vendors at the signature of the agreement, the issuance of
200,000 additional common shares on the 18th month following the
signature of the agreement, the issuance of 50,000 additional shares on
the 24th month following the signature of the agreement and the issuance
of 50,000 additional shares on the 36th month following the signature of
the agreement.

(b) Exploration expenditures of $50,000 during the first 12 months
of the agreement and additional expenditures of $100,000 during the 36
months of the agreement for a total amount of $150,000.

(c) A 1% NSR royalty if the property is brought into commercial
production. One half of this royalty can be repurchased at any time for
$1 million.

de l'entente.

(b) Des travaux d'exploration pour un montant de 50 000 $ au cours
des 12 premiers mois de l'entente et de 100 000 $ au cours des 36 mois
de l'entente, soit un total de 150 000 $.

(c) Une royaute NSR de 1 % advenant une mise en production d'un
gisement compris sur ces claims. Une partie de cette royaute, soit 0.5 %
est rachetable en tout temps au gre de l'acheteur, en contrepartie d'un
montant total de 1 million $ payable aux vendeurs.
