Item 1.01. Entry into a Material Definitive Agreement.
On January 24, 2025, AMJ Global Technology (the “Company”) entered into a Purchase Agreement (the “Agreement”) with AMJ Global Entertainment LLC, a Nevada limited liability company controlled by the Company’s CEO and director, Dr. Arthur Malone, Jr. (“AMJ Global Entertainment”), pursuant to which the Company will pay AMJ Global Entertainment $1,000,000, and the Company will acquire AMJ Global Entertainment’s 25% equity stake in Dark Bull Capital.
The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the Agreement, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated in this Item 1.01 by reference in its entirety.
