Item 1.01.

Entry Into Material Definitive Agreement.

 

 

On May 12, 2021, Video River Networks, Inc.  a Nevada corporation (the “Company”), entered into Finder's Agreement (the "Agreement") with Network 1 Financial Securities, Inc., Inc. (the "Finder") pursuant to which the Company agreed to pay to the Finder 7% of the gross proceeds of an equity transaction received by the Company which came from an introduction made by the Finder to the Company within the duration of the term of the agreement. The term of the Agreement is for 12 months and either party may terminate the Agreement upon thirty (30) days' written notice to the other party.

 

The foregoing summary of the Agreement is qualified in all respects by the Agreement, a copy of which is attached hereto as Exhibit 10.1 and incorporated herein by this reference.
