The following notifications are made
under the UK Market Abuse Regulation ("MAR") relating to certain
transactions by persons discharging managerial responsibilities
("PDMR") in the shares of the Company.
Grant of Awards
Awards of ordinary shares of £0.01
each in the capital of the Company were granted under the Alphawave
IP Group plc Long Term Incentive Plan (the "LTIP") to a PDMR of the
Company as follows:

Vesting of the Awards is subject to
continued employment. The shares shall vest as follows:
· On the
first anniversary of the award date, 12/48ths of the
shares subject to the award
· On the
first anniversary of each month, starting with the first month
beginning after the first anniversary of the award date and ending
with the 36th such month, 1/48th of the
shares subject to the award.
Reason: Recruitment & long term
retention strategy, and in alignment with the initial offer of
employment made to the PDMR in 2023. There have been no
changes to the terms of this offer.
