BLUEFIELD SOLAR INCOME FUND LIMITED
(the "Company")
Result of Extraordinary General Meeting
The Board of Bluefield Solar Income Fund Limited (the "Company")
is pleased to announce that, at the Extraordinary General Meeting
(the "EGM") of the Company held on 15 July 2020 at 9am, the special
resolution was duly passed. The full text of the special resolution
is set out below.
Special Resolution:
'That the Directors be and are hereby authorized, to allot,
issue and/or sell equity securities for cash in accordance with
articles 4.4 of the Articles and as if articles 6.2 of the Articles
did not apply to any such allotment, issue and/or sale, provided
that this power shall be limited to the allotment, issue and/or
sale as described in the prospectus of the Company dates 29 June
2021 (the 'Prospectus') of up to an aggregate number of 500 million
New Ordinary Shares (or Ordinary Share out of treasury) in
connection with the Initial Issue and the Placing Programme (each
as defined in the Prospectus) and shall expire on 28 June 2022
(unless previously renewed, varied or revoked by the Company in
general meeting), save that the Company shall be entitled to make
offers or agreements before the expiry of such power which would or
might require equity securities to be allotted and issued after
such expiry and the Directors shall be entitled to allot and issue
equity securities pursuant to any such offer or agreement as if the
power conferred hereby had not expired.'

the proposed Resolution for the EGM has had the overwhelming
approval of the shareholders and we thank them for their continuing
support for the Company and the Investment Adviser. The Board looks
forward to working closely with the Investment Adviser as we seek
to execute our ambitious plans."
