          RE: STABILISATION OF COMPASS GROUP PLC CONVERTIBLE BONDS

I am writing to advise you that NatWest Securities Limited will be acting as
stabilising manager in Compass Group Plc;

i)        The Securities being stabilised are Compass Group
          Plc Convertible Bonds

ii)       NatWest Securities Limited (NWSL) are the stabilising

iii)      The stabilisation period will run from 24th June 1997
          when the announcement of the price of the convertible
          issue has been made.

iv)       The convertible was issued at par.  The conversion
          price is 830p.
