ACQUISITION OF SPONSORSHIP CONSULTING LIMITED
First Artist Corporation plc (AIM:FAN) ("First Artist" or the "Company"), the
acquisitive sports and entertainment group, today announces the acquisition of
the entire issued share capital of Sponsorship Consulting Limited ("SCL") for
up to �0.75 million.
SCL is an independent marketing communications consultancy specialising in
sponsorship, which advises a range of blue-chip organisations on their
sponsorship activity (www.sponsorshipconsulting.co.uk). SCL's retained and
project clients include Unilever (UK), Corus plc, Shell International, London
Mayor's office, National Grid and Siemens - SCL being behind Siemens' recently
announced �3.2 million sponsorship of the British Rowing Team through to the
London 2012 Olympics.
Based in London, SCL, led by Chief Executive Wendy Stephenson and employing a
further 8 staff, offers its clients a full range of sponsorship-related
services including strategic advice on sponsorship matters, an audit of
existing or proposed sponsorship programmes and competitor research. It works
across the spectrum of sport, arts, community, environment, and education to
ensure that sponsorship is an effective part of an integrated communications
and marketing strategy. In the year to 31 May 2005, SCL reported audited
turnover of �809,052 and operating profit of �4,798. As at 31 May 2005, SCL had
net assets of �90,363.
The consideration payable by the Company will be settled by the aggregate of
the following, subject to a maximum consideration payable of �750,000:
* initial cash consideration of �230,000;
* by the issue of 500,000 new ordinary shares of 0.25 pence each in the
capital of the Company ("Ordinary Shares") at a deemed rate of 10 pence per
share ("Acquisition Shares"). The Acquisition Shares represent
approximately 0.46 per cent. of the Company's existing issued share
capital;
* further payments to be satisfied by a combination of unsecured loan notes
and the allotment of new Ordinary Shares, depending on SCL achieving
certain performance targets in each of the next three years.
Application has been made for the admission of the Acquisition Shares to
trading on the AIM market of the London Stock Exchange. Upon issue, the
Acquisition will rank pari passu with the Company's existing Ordinary Shares.
It is expected that such admission will become effective and that dealings in
the Acquisition Shares will commence on 23 August 2006 ("Admission"). Following
Admission, the Company will have in issue an aggregate of 107,978,660 Ordinary
Shares.

closely with our player representation, event management, and celebrity
representation divisions. Historically, it has been an integral part of First
Artist's activities, the Company having established and managed The Team
England concept for the England national football team between 1986 and 1994.
With the significant expansion of our business over the last eighteen months,
it has become increasingly apparent that substantial sponsorship related
revenue opportunities once more exist for the business. We are therefore
delighted to now be formally introducing this practice area back into the
business - it represents the missing piece in our core mix of services."
