Shareholding
Genus plc (LSE: GNS) announces that on 11
September 2024, conditional nil-cost share options were granted
under the Genus 2019 Performance Share Plan ('PSP') over ordinary
shares in Genus to the Executive Directors and members of the Genus
Executive Leadership Team ('GELT') as listed in table A below. In
addition, following Genus's compulsory deferral requirements
relating to the annual bonus earned by Executive Directors and GELT
for the financial year ended 30 June 2024, nil-cost share options
were granted over ordinary shares under the Genus 2019 Deferred
Share Bonus Plan ('DSBP') as listed in table B below.
Details of the performance conditions that
apply to the nil-cost share options can be found in the Directors'
Remuneration Report of the Genus 2024 Annual Report which will be
published next month.
The price at which PSP and DSBP nil-cost share
options have been granted was determined in accordance with the PSP
and DSBP rules.
Genus further announces that, further to the
vesting on 14 September 2023 of conditional nil-cost options
granted in 2020 under the PSP, as listed in table C below; and
conditional nil-cost options granted in 2020 under the DSBP
as listed in table D below,
Elena Rice, Chief Scientific Officer sold ordinary
shares in Genus on 11 September 2024 on the London Stock Exchange,
to offset income tax and social security liabilities due on the
exercises and retained the balance of ordinary shares.
Conditional nil-cost options granted under the
PSP were subject to relevant performance conditions, measured over
a three-year performance period which commenced on 1 July 2020 and
ended on 30 June 2023. Following assessment of the
performance conditions, the Remuneration Committee determined that
the awards would vest at 36% of the original grant and the balance
of the awards have lapsed.
The below notifications,
made in accordance with Article 19 of the Market Abuse
Regulation (EU) 596/2014 as it forms part of domestic law by virtue
of the European Union (Withdrawal) Act 2018, give
further detail of the nil-cost option awards made, exercised and
ordinary shares sold on 11 September 2024.
