Disposal of Shares

IntegraFin Holdings plc ("IntegraFin" or the "Company") notes, in accordance with Listing Rule 9.6.16, that Ganymede Retirement Nominees Pty Ltd, being a Connected Person of a Restricted Seller (both as defined in the placing agreement entered into on 27 February 2018 around the time of the Company's initial public offering (the "Placing Agreement")), transferred 6,088,247 ordinary shares of one pence each of the Company ("Ordinary Shares"), being its entire holding of Ordinary Shares, to Ganymede Investments Pty Ltd on 24 July 2018. Such disposal was made in accordance with an exemption to the lock up arrangements in the Placing Agreement. The Ordinary Shares owned by Ganymede Investments Pty Ltd remain subject to the terms of such lock up arrangements.
