The Board of Dart Group PLC announces that all of the resolutions proposed at
today's AGM were passed. As a result, each ordinary share of 10 pence nominal
value will be sub-divided into two ordinary shares of 5 pence nominal value
each. The sub-division will take effect from the close of business on 7 August
1998. Application has been made for the sub-divided shares to be admitted to
listing. Dealings are expected to commence in the sub-divided shares on Monday
10 August 1998.
