Exclusivity Period with Rosenblatt Law Limited
RBG Holdings plc (AIM: RBGP), the
legal services group, today announces that, following a request by
Mr Ian Rosenblatt on Tuesday 7 January 2025, it (together
with subsidiaries RBG Legal Services Limited and RBL Law Limited)
have entered into an exclusivity period with Mr Rosenblatt
(together with entities and individuals connected with
him[1]) for the purposes of exploring a sale
of the 'Rosenblatt' branded business together with certain assets
owned by RBGH to Rosenblatt Law Limited ("RLL") (formerly known as AWH
Acquisition Corp Corporate Limited) ( "Disposal"). The Company based its
previous understanding of Mr Rosenblatt's ownership of RLL on
documents filed at Companies House. The Company has now received
documentary evidence that Mr Rosenblatt purchased RLL on 19
December 2024. The exclusivity period will run from 10
January 2025 to 24 January 2025, ("Exclusivity Period"), with a view to
agreeing the Disposal within this period.
For the duration of the Exclusivity
Period, the parties have agreed to:

act in good faith and in an expedited manner to
advance the Disposal discussions;
·
not take any legal action of any nature against
any of the other Parties;
·
withdraw any ongoing action that may be
outstanding against the Parties including the disputed winding up
petition issued by Ian Rosenblatt on 7 January 2025; and
·
withdraw the pending general meeting requisition
notice, as announced by the Company on 23 December 2024.
Mr Rosenblatt is a substantial
shareholder and related party of the Company by definition of the
AIM Rules for Companies. The terms of any disposal will be subject
to, inter alia, the
requirements of AIM Rule 13.
Further updates will be provided by
the Company in due course once these discussions have been
advanced.
