Withdrawal of AGM
Resolutions
Technology Minerals Plc (LSE: TM1),
the UK's pioneering firm in establishing a circular economy for
battery metals, announces that the Board has decided to withdraw
Resolutions 12 and 13 from the agenda of the Annual General Meeting
("AGM") of the Company's shareholders to be held at 11:00 am GMT on
Monday 30 December.
Since publication of the Notice of
AGM on 6 December 2024, the Board has decided that the
requirement/option to issue deferred shares is no longer required
at this time, and therefore the decision has been taken to withdraw
the related resolutions; Resolution 12, titled "Directors'
authority to subdivide Ordinary shares", and Resolution 13, titled
"Approve the terms of the Deferred Shares", which proposed a
Capital Reorganisation.
The withdrawal of Resolutions 12 and
13 does not affect the validity of the Notice of AGM, the proxy
form or any proxy votes already submitted in respect of the
remaining resolutions to be proposed at the AGM. The numbering of
all other proposed resolutions at the AGM remains
unchanged.
