              ZOO Digital Group plc ("ZOO Digital" or "the Group")

                                 AGM Statement



At today's Annual General Meeting of ZOO Digital, the AIM quoted technology and
interactive digital entertainment group, all resolutions put before shareholders
were duly passed. Following the conclusion of the formal business of the
meeting, Chairman, Mr. John Barnes made the following statement to shareholders:

"I am pleased to report that the proceeds of the recent, oversubscribed
#1.5million share placing, arranged by our new nominated adviser and broker
Noble & Company Limited, are already being employed to further develop market
opportunities for the Group.

"Our revolutionary authoring software, DVD-Extra, which enables the production
of interactive DVD video discs to be played on standard consumer DVD players,
has received widespread international commendation. We have established an 
'Early Adopter Programme' for the licensing of this technology, which currently
comprises over twenty companies including Technicolor, Warner and Comchoice. The
Group remains committed to simultaneously further developing and protecting
through patents this intellectual property worldwide.

"In May of this year we signed an exclusive Licensing Agreement with Universal
Pictures UK for the production of the 'Who Wants to be a Millionaire' quiz game
on DVD-Extra initially in three European territories - the UK, France and Italy.
I am delighted to report that the first two master discs for the UK and France
have been delivered on time and on budget. We look forward to extending our
relationship further with Universal whilst also proving the benefits of
DVD-Extra. Both versions are expected to be published before Christmas.

"The Board will also continue to build on its other intellectual property assets
such as Premier Manager and Home Creative Studio. These key titles will be
supported by the acquisition from third parties of other finished titles for
local or cross platform publishing. We will aim to identify niche products that
have a sizeable sales opportunity but with considerably lower risk and
opportunity cost. We expect to publish during 2003 at least three PS2 titles and
twelve new Gameboy Advance titles.

"The Group's strategy of developing its own intellectual properties, epitomised
by the potential of DVD-Extra, whilst continuing to publish low-risk licensed
products and in-house brands, places the Group in an excellent position for a
move into significant growth ."
