offering of 5,750,000 shares of common stock at a price of
$13.00 per share. This amount
includes the exercise in full by the underwriters of their option
to purchase up to an additional 750,000 shares of common stock.
BofA Merrill Lynch, UBS Investment Bank and Wells Fargo
Securities acted as joint book-running managers for the offering.
Baird, RBC Capital Markets and FBR acted as co-managers.
