Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 8, 2024, Michael C. Morgan notified the Board of Directors (the “Board”) and the Corporate Secretary of Stem, Inc. (the “Company”) of his resignation from the Board effective October 7, 2024 for personal reasons. Mr. Morgan’s decision to resign was not the result of any disagreement with the Company, management or the Board on any matter relating to the Company’s operations, policies or practices.
