(1)  This amendment is being filed to adjust the number of securities beneficially owned by the reporting person. Due to an administrative error, 27,632 shares were inadvertently omitted from the original Form 3 filing.
(2)  Includes restricted stock unit awards for (i) 641 shares, which vest in full on March 7, 2020, (ii) 6,058 shares, which vest in full on February 21, 2020 (iii) 10,455 shares, which vest in full on June 7, 2020, (iv) 8,960 shares, which vest in full on February 21, 2021, (v) 10,090 shares, which vest in full on February 20, 2022, and (vi) 5,647 shares, which vest in substantially equal installments on March 7, 2020 and 2021.
