They recently raised the CFO's salary by approximately $100K. The most challenging task was getting the audited 10-K out, but that's already been completed. Since the 10-Q doesn’t require an audit, why was he able to release it? I think he will meet the deadline.

Securities enter a Grace Period when OTC Markets Group is no longer able to confirm that the issuer’s disclosure is current and publicly available as required under Rule 15c2-11. When a security enters a Grace Period, it can continue to be publicly quoted for 15 days. At the end of the 15-day Grace Period, if the required disclosure is not available, the security will move to the Expert Market for unsolicited quoting only, unless OTC Markets Group determines another exception under Rule 15c2-11 applies, such as the Large Company/ADTV exception.

Just guessing, but they're probably "herding cats" with the different companies they took under their umbrella. IMO.

What is going on UNQL not filing their earnings yet, this is not like them , does anyone know anything ?

I agree...but apparently they didn't file the 10Q so this is the result from it...hopefully they will file...I'm holding regardless and hoping it will pay off in time

One other R/M ticker to keep an eye at is BN*C_M that will be putting out its first post merger audited financials (w/Delex Pharm) by or before Nov.15th doing roughly about $40-$50m/yr in revenue and much more. Do check them out...sitting at the very bottom now on a very low volume.

Form 10-K For the fiscal year ended May 31, 2024. Companies can choose their fiscal year end, which may or may not align with the calendar year. In this case, the company has chosen May 31 as the end of its fiscal year, so the 10-K is being filed for the year ending May 31, 2024.
The Q1 10-Q would be for the quarter ending on August 31, 2024. They only miss one quarter; therefore, I don't think they go to EM status yet. Imo.

The authorized shares are maxed, so there’s no dilution risk here. Some people have taken profits. With a low float, the stock can move quickly in either direction.

There still might be folks who check in on this Board from time to time who remember the prolonged share dumps from insiders in the past. What is happening right now is a carbon copy of that action before. Before a quarterly report, there would be claims of huge revenues and big things coming. The market makers already have the large sell order to spread out over time. In order to get the best average price for the dumping shareholder, volume would be increased, the price would shoot up, and it would be a bonanza for a number of days and even a week or so sometimes. All controlled by the market makers (as the new folks are seeing on Level 2).

Disciplined traders took their scalps and made money on those runs when they sold to collect profits. The stock would inevitably trend downward again day by day, with small pops up here and there to keep volume up. Social media begged folks to hold with diamond hands, zip code changer, to da moooooonnnnnn. And those who held experienced deep red accounts. Because the next public report would disclose the converted shares and dilution. The OS would be updated on the exchanges and the pps would drop to meet equilibrium based on the new shares dumped on the market. This is deja vu and those who know....know.

I am not going to try and predict when the 8k will drop to let everyone know the AS was increased by the Board. They will do it behind the scenes and then simply file a form with the Nevada Secretary of State along with an 8k announcement similar to this one:

Then the preferred shareholders will go through the whole process again of dumping, converting/reloading just enough to stay under 5% reporting requirements, and then dumping again. Rinse and repeat. The GREAT news with all of this is the fact that it makes for excellent swing trading on decent volume when the pattern starts up again. Realistically the 10Q could fall any time before next Friday. You're better to be in than out. Fact!

Low-float stocks can move quickly in either direction. The bottom line is that the stock is still holding onto its gains, and that’s what really matters.
