On August 26, 2024, the Board of Directors of VPR Brands, LP (the “Company”) and Soleil Capital Management LLC, the general partner of the Company, approved the issuance of certain restricted shares of the Company’s common units to its officers as a 2023 year-end bonus (“Bonus Shares”) as follows:
