admission of new PHC Shares to trading on AIM and Rule 2.9

On 26 June 2024, the boards of PI
Industries Ltd ("PI") and Plant Health Care plc ("PHC" or the "Company") announced that they
had reached agreement on the terms and conditions of a recommended
cash acquisition by PI or a subsidiary directly or indirectly
controlled by PI of the entire issued, and to be issued, ordinary
share capital of the Company (the "Acquisition"). The Acquisition
is being implemented by way of a court-sanctioned scheme of
arrangement under Part 26 of the Companies Act 2006 (the
"Scheme"). PI has formed a
private limited liability company specifically for the purposes of
the Acquisition, PI Industries Management Consultancies LLC
("Bidco"). Bidco is a wholly
owned subsidiary of PI.
PHC published a circular in relation
to the Scheme dated 10 July 2024 (the "Scheme
Document"). Defined terms used but
not defined in this announcement have the meanings set out in the
Scheme Document. All references to times in this announcement are
to London time.
Following the Court sanction of the
Scheme on 15 August 2024, conditional exercises by holders of
options granted under the PHC Share Plans for an aggregate of
22,568,595 PHC Shares have become unconditional. The holders of
options who conditionally exercised their options in accordance
with the Rule 15 Proposals included the following Company Directors
in respect of options granted to them under the PHC Share Plans
(all of which options, to the extent not already vested, vested
following Court sanction of the Scheme):

Notifications by the PHC Directors
in accordance with the Market Abuse Regulation (EU) No.596/2014, as
it forms part of the laws of the United Kingdom from time to time,
are set out in the Appendix to this Announcement.
Application for admission of the new
Ordinary Shares to trading on AIM ("Admission") has been made and dealings
in the new Ordinary Shares are expected to commence on or around
8.00 a.m. on 19 August 2024. The new Ordinary Shares will rank
pari-passu with the Company's existing issued Ordinary
Shares.
Following the allotment and issue of
the 22,568,595 new PHC Shares on the date of this Announcement, the
Company confirms, in accordance with Rule 2.9 of the Code and for
the purposes of Rule 17 and Schedule 7 of the AIM Rules for
Companies, that it has 364,101,547 ordinary shares of 1 pence each
in issue and no PHC Shares are held in treasury and the total
number of voting rights is therefore 364,101,547. This figure may
be used by shareholders as the denominator for the calculations by
which they will determine if they are required to notify their
interest in, or a change to their interest in, the share capital of
the Company under the FCA's Disclosure and Transparency
Rules.
