Resolutions passed at the Annual General Meeting 
 
 
 
Smurfit Kappa Group plc ("SKG") advises that all the resolutions recommended by 
the Board at the Annual General Meeting of the Company held on 8 May 2009 were 
duly passed. These resolutions were set out in the Chairman's Letter and the 
Notice of the Annual General Meeting which were posted to shareholders on 3 
April 2009 and are available on the SKG website www.smurfitkappa.com.  The 
following items of special business were passed: 
 
 
  *  Renewal of the authority to allot shares for cash otherwise than in accordance 
  with statutory pre-emption rights; and 
 
  *  Renewal of the authority to make market purchases of the Company's own shares. 
 
 
 
As required by Listing Rule 6.6.2, copies of certain resolutions have been
