subsidiaries the "Group")
Exercise of Options, Issue of Ordinary Shares, Total Voting
Rights and Director/PDMR Shareholding Notification
ThinkSmart (AIM: TSL) announces that following the exercise of
awards granted under the ThinkSmart Long Term Incentive Plan 2016
the Company has issued 500,000 ordinary shares of no par value each
in the Company ("Ordinary Shares") under the Company's block
listing facility. These have all been issued to Ned Montarello,
Executive Chairman of ThinkSmart, who exercised awards at GBP0.1308
per share. Following the above, Mr Montarello, and entities he is
related to, now hold 31,842,286 shares representing 29.57% of the
issued share capital.
Total Voting Rights
The Company advises that, following the issue of the 500,000 new
ordinary shares, the Company's issued share capital will be
107,693,483 Ordinary Shares. The Company holds no shares in
Treasury. Therefore, the total number of voting rights in the Group
will be 107,693,483.
This gure may be used by shareholders as the denominator for the
calculation by which they will determine if they are required to
notify their interest in, or a change in their interest in, the
Group under the Disclosure Guidance and Transparency Rules of the
FCA.
