IH Market News Fox Corp. (NASDAQ:FOX) has agreed to acquire Roku Inc. (NASDAQ:ROKU) in a cash-and-stock transaction with an enterprise value of approximately $22 billion, combining one of the largest providers of live sports and news content with a leading connected-TV platform. The acquisition represents a major strategic move as media companies seek greater scale and direct access to streaming audiences amid ongoing shifts in consumer viewing habits. Roku Shareholders to Receive Cash and Stock Under the terms of the agreement, Roku shareholders will receive $160.00 per share, consisting of $96.00 in cash and 0.9693 shares of Fox Class A common stock for each Roku share held. The offer represents a substantial premium for Roku investors and follows a period in which the streaming company had been evaluating strategic alternatives. Combined Business Expands Reach Across Television and Streaming The transaction brings together Fox’s portfolio of live programming, including major sports and news properties, with Roku’s streaming ecosystem, which reaches more than 100 million households globally. The combined company is expected to become the third-largest player in the U.S. television market based on total viewing share. For Fox, the deal accelerates its transition toward digital distribution following the 2019 sale of much of its entertainment business to Disney. While Fox has maintained strong positions in live content, the acquisition gives it direct access to one of the largest connected-TV audiences in the United States. The deal also unites Fox-owned Tubi with The Roku Channel, creating a larger free ad-supported streaming television platform. Executives Highlight Strategic Benefits “This is a defining moment for FOX,” Lachlan K. Murdoch, Executive Chair and Chief Executive Officer of Fox, said in a statement. He noted that the transaction combines “the most valuable live content portfolio in video consumption with the preeminent streaming platform through which America watches it.” Anthony Wood, Roku’s founder and chief executive, will join Fox’s board following completion of the transaction and continue to play a role within the enlarged business. “The combination with FOX is an extraordinary opportunity to accelerate our vision, scale faster and innovate more aggressively,” Mr. Wood said. Financing Structure and Leverage To fund the cash component of the acquisition, Fox has secured $12 billion in fully committed bridge financing from Morgan Stanley Senior Funding, Inc., alongside the use of existing cash resources. Fox said pro forma net leverage is expected to be approximately 2.8 times core earnings at closing, including half of the forecast $400 million in annualised cost synergies. The company also stated that its dividend and share buyback programmes will continue “uninterrupted” and that it expects to retain its current investment-grade credit rating. Following completion, Fox shareholders will own approximately 73% of the combined company, while existing Roku shareholders will hold the remaining 27%. Regulatory Review Expected The boards of both companies have unanimously approved the transaction. Because Anthony Wood and related trusts control a majority of Roku’s voting rights, shareholder approval from Roku investors has effectively been secured through a support agreement. However, the transaction is expected to face regulatory scrutiny, particularly given concerns around vertical integration in the media and technology sectors. To address potential issues, Fox and Roku said the streaming platform will continue to operate as an “open, partner-friendly platform” for third-party services such as Netflix, Disney+ and Max. NEW YORK, Feb. 4, 2026 /PRNewswire/ -- Fox Corporation (Nasdaq: FOXA, FOX; "FOX" or the "Company") today reported financial results for the three months ended December 31, 2025.The Company reported total quarterly revenues of $5.18 billion, an increase of $104 million or 2% from the amount reported in the prior year quarter. Distribution revenues increased 4%, primarily driven by 5% growth at the Cable Network Programming segment. Advertising revenues increased 1%, primarily due to higher sports and news pricing, continued digital growth led by the Tubi AVOD service, and the impact of additional MLB postseason games, partially offset by lower political advertising revenues and lower ratings. Content and other revenues were essentially unchanged from the prior year quarter.The Company reported quarterly net income of $247 million as compared to the $388 million reported in the prior year quarter. Net income attributable to Fox Corporation stockholders was $229 million ($0.52 per share) as compared to the $373 million ($0.81 per share) reported in the prior year quarter. Adjusted net income attributable to Fox Corporation stockholders1 was $360 million ($0.82 per share) as compared to the $442 million ($0.96 per share) reported in the prior year quarter.Quarterly Adjusted EBITDA2 was $692 million as compared to $781 million reported in the prior year quarter as the revenue increase noted above was more than offset by higher expenses. Tucker Reappears In 8PM Time Slot, But Not With Fox -- Which Just Suffered "Catastrophic" Ratings Crash

After Tucker Carlson's surprise split from Fox News, the #1 rated cable news host in history re-emerged from his home office on Wednesday to offer a stunning 8PM monologue covering his thoughts on the media landscape, and his future.

According to Carlson, one of the things one notices when one takes a little 'time off' is "how unbelievably stupid most of the debates you see on television are. They're completely irrelevant. They mean nothing.

"In five years we won't even remember that we had them... and yet, at the same time, the undeniably big topics - the ones that will define our future - get virtually no discussion at all. War, civil liberties, emerging science, demographic change, corporate power, natural resources. When was the last time you heard a legitimate debate about any of those issues?"

"Debates like that are not permitted in American media," Carlson continued, adding "Both political parties, and their donors, have reached consensus on what benefits them - and they actively collude to shut down any conversation about it.

"Suddenly the United States looks like a one-party state," Carlson said.

Carlson doesn't think this will last, however, noting that while the above is a "depressing realization," he doesn't think this is permanent.

"Our current orthodoxies won't last. They're brain-dead. Nobody actually believes them. Hardly anyone's life is improved by them. This moment is too inherently ridiculous to continue, and so it won't.

The people in charge know this, that's why they're hysterical and aggressive. They're afraid. They've given up persuasion - they're resorting to force. But it won't work. When honest people say what's true, calmly and without embarrassment, they become powerful. At the same time, the liars who've been trying to silence them shrink - and they become weaker. That's the iron-law of the universe; true things prevail."

Tucker rhetorically asked "Where can you still find Americans saying true things? There aren't many places left, but there are some - and that's enough. As long as you can hear the words, there is hope. See you soon."

Fox News, meanwhile, suffered a 'catastrophic drop in viewers' following Carlson's ouster for still-unknown reasons, according to The Federalist's Sean Davis.

I loved Tucker!! He was awesome!! I will just have to find some other station or channel for news that is not turning liberal. I have now gone back to AM radio. It is not fair to us who have been long time viewers and supporters of FOX! Goodbye FOXNews!! RIP!!

The Death of Cable TV has started. Don Lemon and Tucker both should start their own podcast and go to streaming. I cut the cord years ago and love not having those huge cable bills when I barely watch TV and most people do not even realize if you have a antenna and do a tv scan most stations you pay for are free to begin with lol.
