NextDecade Corporation Announces Contemplated Notes Sale by Rio Grande LNG, LLCJune 22, 2026 9:19 AM
Business Wire NextDecade Corporation (“NextDecade”) (NASDAQ: NEXT) announced today that its partially-owned subsidiary, Rio Grande LNG, LLC (“RGLNG”) intends to offer and sell, subject to market and other conditions, senior secured notes (the “Senior Secured Notes”), in a private offering to persons reasonably believed to be qualified institutional buyers in reliance on Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and to non-US persons outside the United States only in compliance with Regulation S under the Securities Act. RGLNG intends to use the net proceeds from any offering of Senior Secured Notes to (i) repay a portion of the outstanding borrowings under its existing credit agreements, (ii) to pay related fees and expenses thereto and (iii) pay or reserve for payment of interest rate hedge termination payments, as applicable. The Senior Secured Notes would rank pari passu to RGLNG’s existing term loan facilities, working capital facility, senior secured notes, and senior secured loans. Mike Mott, who is currently the Company’s Interim Chief Financial Officer, will return to his previous role as Senior Vice President of Enterprise Transformation. HOUSTON, March 24, 2022--(BUSINESS WIRE)--NextDecade Corporation ("NextDecade") (NASDAQ: NEXT) announced today the execution of a binding Heads of Agreement ("HOA") with Guangdong Energy Group Natural Gas Co., Ltd. ("Guangdong Energy") for the long-term supply of liquefied natural gas ("LNG") for 20 years from NextDecade’s Rio Grande LNG export project in Brownsville, Texas.
The HOA provides that Guangdong Energy will purchase up to 1.5 million tonnes per annum of LNG indexed to Henry Hub. The LNG supply will initially be from train one of Rio Grande LNG, which is expected to start commercial operations in 2026. The HOA also provides that Guangdong Energy and NextDecade will complete the sale and purchase agreement ("SPA") in the second quarter of 2022.
