                               Additional Listing


A listing application has been made for 109,936 ordinary shares of 1 pence each
in the Company to be admitted to the Official List of the UK Listing Authority
and to trading on the London Stock Exchange. The shares will be issued fully
paid and will rank pari passu in all respects with the existing issued ordinary
shares of the Company.

These shares will be issued as partial deferred consideration for the
acquisition of the shares of Full Circle Educational Services Limited and the
business of Full Circle Partnership LLP.
