They are parasites.

These guys are greedy. They sometimes want a 200-300% if they can.

That's not how toxic funding works.

The discount they receive is how they make money. The price at which they convert may be based upon the stock’s lowest closing bid prices over a certain period often the preceding month. The discount will be applied to the conversion price. The toxic funder will sell their converted stock into the market. Current investors will rightly see it as dilution, and some will sell. The stock price will decline, usually dramatically. Worse, the toxic funder will soon sell another tranche of stock. This time, they get even more discounted shares to dump, because the conversion price will be calculated from lower prices than before.

I don't think he is serious. I just think he can stand to make money with the lender. But they are in such a hole.

They make their money on both sides. That's just not true. Otherwise they wouldn't try to sell their shares over their buy. They of course want to sell their shares for a profit.

I've never seen a company work out a deal with a toxic funder. There would be no benefit for the toxic funder.

Toxic funders make their biggest money when the stocks go down. Not up. So there not looking to move the stock up.

If the CEO of this company was serious about getting rid of toxic funders then he needs to work with a law firm. It's the only way.

Many of these “Investors” or “lenders” are not registered with FINRA, and if they are not registered under the ACT, and required to do so, then all transactions they enter into are – VOID - by federal statute.

I'm just saying. Either there is some sort of relationship between the company and the lender or it is what it is and it's just the lender going to move the stock to where they can make their biggest return. So we could see this seesaw to .0007/.0008

You can't pause toxic funding. This ticker has multiple toxic notes in default.

Once a ticker "triggers" an event within a contract (and there are numerous little "events") the share conversion starts.

This ticker is knee deep in "triggered events."

This ticker:

They are in default. Do you know what that means? It means they haven't been repaid, and they are still open. That's pretty clear, cut, and dry here. 🤣

They literally converted and dropped 848,000,000 million shares on the market between Sep. 2024 and April 2025.

That's only a small portion of it as they will keep having to convert these toxic notes.

The Company reissued a convertible redeemable note to AES Capital Management, LLC in the original principal amount of $210,000. The note matures on March 8, 2023. The note carries a 2% interest rate and has a convertible feature that allows the note to be converted at the lowest price of $0.0002 or the lowest trading closing price observed in the last 15 previous trading days. The note is currently in Default as of December 31, 2024.

You see the highlighted red? That phrase is single handedly the worst statement you can see in your ticker. It's called "death spiral funding."

You see the bold print? That means it still exists.

And it's in default.

Typically, the notes they buy can be converted at any time, often at a discount to market price of 70 percent or more. As the lender converts and sells, stock price drops. To avoid making insider filings to the SEC, the lender’s financing agreements specify that he may own no more than 4.99 percent of the company’s stock at any time. But that in no way stops him from converting his note continuously, in a succession of tranches. Since the conversion ratio is pegged to the security’s recent average bid price, every time he converts, he gets more stock than the time before. As he sells tranche after tranche, the company’s stock price enters freefall. Sometimes the only remedy for the issuer is a large reverse split.

And this is just one toxic funder here.

Common Stock Issued after September 30, 2024 to April 24, 2025 totaled 848,838,720 due to the conversion of debt with 2 Lenders.

They might be getting Pink Current (OTCID) but this is just the beginning of dilution.

Lenders are on it and have been for a long time. Until money stops going to them or the deal they strike for shares goes higher, this is the game they will place. The good thing is so far there is higher lows since that bounce. Until, they update the financials and communicate. this is the reality.

I tried to tell you that two days ago. You know, when I came here at .0008 and told you all that it is going to drop. And keep dropping in the foreseeable future.

Of course, I can be wrong here. It all depends.

They haven't dropped their late annual report for 12/31/24 yet. And their quarterly for 3/31/2025 (don't need to, have time to file).

So, if my rationale is on point, this should drop lower than .0004. Anticipation for Pink Current is forming.

Now if they decide to drop the annual report soon then it will price trend up. The company is up to date on filings (if no amendment is necessary for annual report).

They will need to upload an annual Management Certification by July 1st, 2025 (new thing with OTCID).

They should be able to get to Pink Current status (that's going away and will be called OTCID Market).

Should run a little here for you all.
