Transfer of Shares and
Persons Discharging Managerial Responsibilities
Shareholdings
The Company announces that, in
accordance with the terms of the Investment Management Agreement
between the Company and Schroders Greencoat LLP (the "Investment Manager"), 693,185 shares
currently held in treasury will be reinstated with the full rights
of Ordinary Shares of 1p each (the "Ordinary shares") and issued to the
Investment Manager.
The Ordinary shares are subject to a
3 year lock up period and are comprised of the
following:

230,238 Ordinary Shares of 1p each in respect of
Q4 2023 including the True Up amount for the period of 1 January to
31 December 2023, as described in the Investment Management
Agreement;
·
228,532 Ordinary Shares of 1p each in respect
of Q1 2024; and
·
234,415 Ordinary Shares of 1p each in respect
of Q2 2024
Following the transfer of the
Ordinary shares, the beneficial interests of the Investment Manager
in the issued share capital of the Company will be as
follows:

In accordance with DTR 5.6.1R of the
FCA's Disclosure and Transparency Rules, the Company notifies the
market that, on 7 May 2024:

it will have 2,291,771,521 issued Ordinary Shares
of 1p each ("Ordinary Shares") admitted to trading. Each Ordinary
Share carries the right to one vote in relation to all
circumstances at general meetings of the Company;
·
it will have 15,677,135 Shares held in
treasury.
The total voting rights figure will
be 2,291,771,521 and may be used by shareholders and others with
notification obligations as the denominator for the calculations by
which they will determine whether they are required to notify their
interest in, or a change to their interest in, the Company under
the FCA's Disclosure and Transparency Rules.
