Grant of Options and Director/PDMR
Dealing
Chapel Down, England's leading and largest winemaker,
announces that, under its Long-Term Incentive Plan ("LTIP"), it has granted zero-cost
options (the "LTIP
Options") over, in
aggregate, 279,905 ordinary shares of 5p in the Company
("Ordinary Shares") to its
executive directors and senior management.

The LTIP Options are intended to reward long term
performance that delivers value to shareholders. The grant of the
award is 31 May 2024, and vesting occurs on 31 December 2026,
subject to continued employment and Group performance conditions in
respect of net sales and trading operating profit for the financial
year ending 31 December 2026.
Subject to vesting in line with the specified
criteria, the LTIP Options are exercisable for up to 10 years from
the date of grant and will lapse if not exercised by such date.
Following this grant, there is a total of 9,314,051 options over
Ordinary Shares outstanding, representing 5.4% of the current
issued share capital of the Company.
The executive directors have also been granted a
one-off shares bonus due to strong company performance over a
sustained period, comprising 111,301 new Ordinary Shares to Andrew
Carter and 74,230 new Ordinary Shares to Robert Smith (the "Bonus
Shares"). After this award, Andrew Carter owns 430,970 Ordinary
Shares, and Robert Smith and dependents own 2,074,230 Ordinary
Shares, equivalent to 0.25% and 1.21% of the Company's issued share
capital as enlarged by the Bonus Shares respectively.
Admission and Total
Voting Rights
Application has been made for the admission of
185,531 Bonus Shares to trading on AIM and admission is expected to
occur at 8.00 a.m. on 5 June 2024 ("Admission"). The Bonus Shares
will rank pari passu with
the existing Ordinary Shares in the Company.
Following Admission, the Company's total issued share
capital will comprise 171,524,316 Ordinary Shares with one voting
right per share. The Company does not hold any shares in treasury.
Accordingly, the total number of voting rights in the Company will
be 171,524,316. From Admission, this figure may be used by
shareholders as the denominator for the calculations by which they
will determine if they are required to notify their interest in, or
a change to their interest in the Company under the FCA's
Disclosure Guidance and Transparency Rules.

UK Market Abuse Regulation, provide further detail in relation to
the LTIP Options and Bonus Shares.
