Had really high hope for the product, thought the turnaround would gain the traction and worst case would be a sale, but with higher price.

FYI, I sold all my RVNC shares in a Fidelity Roth account at 3:57pm with a 3.65 limit (so I wouldn't have to worry about this account getting paid) and the order was filled at 3.66! Size was higher than a similar order for 50,000 shares on Schwab that was filled at 3.65. That is significantly better execution on Fidelity! The highest price I see in trades around this time is 3.655, so almost looks like Fidelity ate a couple hundred dollars on this transaction. Strange...

Now have to wait and see how long it takes until my remaining shares get paid.

Answering my question here... there is a 0.0002674 exchange fee per share on the sale, so unless one gets at least 3.6503 execution, it is better to wait until closing tomorrow. As a retail investor I cannot specify a fractional cent limit.

I wonder if buyers that are paying 2.655 today (also there have been some trades at 2.66) could be shorts covering or closing other hedges, who if they had waited until tomorrow might have faced fees higher than 0.005 per share to close their positions.

And why is someone paying more than $3.65?

Updating the previous version of this message, on 1000 share trades Schwab gives me 3.6505, but on 50,000 shares I got 3.6500, so I don't see a way to get a better price, even though several trades go through at 3.655...

Dew, I sold the rest of my RVNC shares on Monday. I didn't want to open my Schwab account and see RVNC listed among my holdings, even though it just advanced that outcome by a few days. Better luck next for both of us on our other investments.

Sadly, Foley blew all the RVNC’s cash with his terrible decisions and destroyed the company! Now Bill Meury from Crown Labs told me years ago, that Foley was a terrible person and idiot! Bill was right!!!

Global net revenues from the aesthetics portfolio were $1.298 billion, a decrease of 5.2 percent on a reported basis, or 4.4 percent on an operational basis.
Global Botox Cosmetic net revenues were $687 million, a decrease of 4.2 percent on a reported basis, or 3.4 percent on an operational basis.
Global Juvederm net revenues were $279 million, a decrease of 16.3 percent on a reported basis, or 15.1 percent on an operational basis.

If the deal is terminated without Crown Labs buying RVNC, then those who have not yet sold their shares will get whatever the market offers.

Worst case, given that Revance management has issued multiple going concern warnings, those still holding the shares may end up with zero dollars to show for it.

If crown labs gets at least 50% of the shares (plus one share), then it can force any remaining holders of its shares to sell at the tender price

If the deal goes through, shareholders who don't tender get the same payout as those who do tender, but it may take slightly longer to get paid.

I wonder if that's the end of the game.

There was something in the SEC document about a two-step process, such that people not tendering could conceivably lose out if the second step didn't happen.

Teoxane was bluffing about wanting to acquire RVNC, IMO, but the bluff succeeded in getting Crown to pay an additional $0.55/sh.

What does that even mean?  If I'm not mistaken, we are done here with them accepting Crowns deal at $3.65?  I was hoping that TEOXANE would counter it back at $4.00 and Crown would walk.  Foley is definitely in bed with Crown.

better than most of us who sold ALL ( some at $6.51 and $3.07ish).. only some friends and fam didn't sell/tender yet.. Read the new 8k today from Revance talking about considering Teoxane
proposal and Crowns letter to Revance basically acting like “take our offer or we will back out”. How Teoxanes offer isn’t vetted, with no proof that their financing is all committed, therefore not even a valid offer. Basically telling.Revance that they’re not gonna budge and they’re not gonna extend their tender offer termination for next week. I think we all know they’re full of shit and still want the deal and will easily pay 4 to 5 dollars a share to get it. It’ll be interesting to see how long this battle takes, and who comes out on top. Myself and two of my good friends who are large holders of RVNC we’re just named as lead, plaintiffs through one of the biggest law firms and the first firm to file actual suit against Revance last week

There are indications that Allergan looked at potentially acquiring Revance some 8 to 10 years ago. If these rumors are true, then Bill Meury would have been actively involved in those discussions. If this is the case, then Bill has been patiently stalking Revance waiting for an opportunity like this for almost 10 years.

There is a reasonably strong possibility that Crown will increase their offer price.

Termination Fee. I still have ~ 1/3 of my shares only because they were the ones not underwater and I was generating tax loss for 2024. I just never got around to the selling the rest as we entered 2025. While I am glad of a higher offer, it would take a counter offer to lessen my annoyance a bit. From the outside it looked like Teoxane torpedoed the $6.66 price so I need Crown or some other entity to start a bidding war.

Do we think Crown will bid higher? Does Crown already have the 60% threshold of shares to force their buyout and thus is just Texoxane trying to get a higher sale price for their 8% stake
