On January 22, 2025, the Company received a letter from the staff of the Listing Qualifications Department (the “Staff”) of the Nasdaq Stock Market LLC (“Nasdaq”), notifying the Company that the Staff has determined that the Company’s securities will be delisted from Nasdaq based on the following factors:

•The Company’s filing for protection under Chapter 7 of the U.S. Bankruptcy Code on January 17, 2025 (the “Filing”) and public interest concerns raised by it;
•Concerns regarding the residual equity interest of the existing listed securities holders; and
•Concerns about the Company’s ability to sustain compliance with all requirements for continued listing on The Nasdaq Stock Market.

The Company does not intend to appeal the Staff’s determination, given the commencement of the bankruptcy proceedings. Therefore, the Company anticipates that trading in the Company’s common stock will be suspended at the opening of business on January 29, 2025, and subsequently delisted from Nasdaq, as indicated in the Staff’s letter.

From the Dec. 20 8k disclosing the 1:20 stock split, they also included the following:

"As previously disclosed, on November 5, 2024, the “Company entered into a Revolving Credit Facility Agreement and related Security Agreement for up to $12 million (the “Secured WC Facility”) with an entity affiliated with Mr. Tony Aquila, the Company’s Chief Executive Officer and Executive Chair, AFV Management Advisors, LLC (“AFV”).

On December 18, 2024, in consideration of a discretionary advance of $2.5 million under the Secured WC Facility, the Company and AFV agreed to amend the collateral package associated with the Secured WC Facility to include substantially all of the assets at the Company’s Pryor, OK location as collateral for the facility.

On December 20, 2024, the Company announced that it would be temporarily idling its Oklahoma City and Pryor manufacturing facilities in Oklahoma, resulting in the furloughing of 87 employees for a twelve week period. The Company is also furloughing an additional 13 employees throughout its other locations."

The company needs, at least, a few hundred million to go onto production.At this point, anyone that lends to them will have to oversee how the money is spent.

What's crazy is, they didn't take the opportunity to raise a billion or 5 back when they had that huge valuation (near 60 billion).

I wouldn't be betting on the company succeeding. I'd be betting that they find funding in the next year to start up production. Starting production should spike the share price, at least temporarily.

I read that article this morning. I don't know how true it is. But, considering where the company is currently, I'm inclined to believe it.

I'm not going to buy any more shares. I am considering buying Jan 2025/26 call options if I can get them for a penny or two.

It's looking like 1 billion shares will be traded today.

Nothing will happen, unless the company starts production. If the company had produced even ten vehicles to start filling their Walmart order, the stock price would be fine, raising money would not be a problem.

The company hasn't been producing vehicles. They concentrated on getting more orders. The company is running out of money and the share price is dropping. Last year's reverse split cut my appetite for shares. It's probably the same for others. I doubt the company will wait long to do another reverse split, sell shares, and pass out bonus shares to management and employees.

UK possibilities might be more likely to happen before USPS.

Yeah. I tend to think Trump not would do that. It would open the bidding process again and delay the Post Office from getting (much needed) new vehicles. EVs are good for the type of driving most postal workers do.

I think the thing hurting GOEV the most is the lack of production (and the late notice that the company would miss Q3 forecasts).

On Bloomberg last week. Guest said Trump is going to reverse Biden's order to "electrify" USPS fleet. ICE vehicles on my rural route are belching blue smoke like crazy. GOEV had hoped for an order of 10K plus. We shall see. HAWK

The share price is below a dollar. The SEC sent a de listing notice last week (still 180 minus a few days, until necessary). The shareholders (somehow) voted yesterday for managements ability to do a reverse split. And, the company still doesn't appear to be producing vans to fill orders.

What is the reason this company's stock keeps going down beyond it being a startup and struggling to scale and make a profit, like most companies in the EV sector? Is there news of dilution, reverse split, etc.?

Stock price on 11/22 when the Annual Meeting was originally scheduled but then postponed was ~0.45. It's currently ~0.34, a decrease of ~ 25% over the last two weeks.
