It is worded that Alumni is acting as a broker and is free to place these shares with anyone...that is how the hidden owners will acquire these shares for nothing. If there was any kind of loan it would have to specify an interest rate. I hope you are right...I really do because it would mean we have a potential big play. But to dance in China you must controlled by the government and this is how that is being done. There is no intention to repay the loan...because a loan isn't actually needed in the first place. And a loan should not contain a warrant clause...especially this one that is beyond criminal in it's scale relative to the size of the company. We have been had.

If it was a loan...what is the interest rate? I don't see any language other than shares for money. if it is a loan why are there warrants? Warrants are usually for a broker who sells it to the public....but this looks like it will be sold to private investors.

And they sit have to borrow and monies at all. It can just sit there and they pay fees to keep it open. If they don’t borrow no conversion. And there is most definitely a payback provision or the loan would be usurious. I’m in the industry and understand these things.

They can sell 3 billion shares of stock and receive $420,000 dollars. That is .00014 per share...and they have to pay Alumnis fees out of that. There is no payback provision...read the prospectus:https://ih.advfn.com/stock-market/USOTC/ab-pk-ABQQ/stock-news/94500912/form-424b3-prospectus-rule-424b3. A week after he filed this supplemental prospectus he notified of a yearly profit of $250,000 and a week later q4 profit of $600,000-1 million. A next 90,000 for consulting fees with lots more coming. Yeah right it is just a credit line... it is only a credit line in that the company has a "put" on to when they do it. It is a way for special interests to take over the company...most likely the people who can make the China operations possible. Only possible explanation.

It isn't a loan with convertible provisions. It plainly says they are issuing stock for the money...and it is for around .0002 cents per share. There is really no reason for the warrants provision at all. 3 billion shares would only net less than $600,000....freakin 1/2 of the 4th qtr profit projection. Something very fishy happening here. The only possible explanation is the ownership and the potential is being taken away from the existing/retail shareholders and given to special interests. There is some language in the prospectus about they may resell them. Look at the terms compared to the amounts announced they expect to come in. If there isn't foul play involved...then Cheng is the worst ceo in history to get taken so badly.

It’s a loc. stop spreading misinformation. If they don’t use it there are no shares to convert. And conversion is not guaranteed as there are typically payback provisions. Let’s see what is used before we think this will blow up to 6 billion shares.

No. The total amount of shares that Alumni will end up with is 4.5 billion. Added to the the existing 2.3 billion for a total of 6.8 billion. So they...that is whoever they are going to pass these shares to will own 67% of the company. Once the warrants are exercised the stock will be free to float it should rise some. But if this loan had not been done...this stock would be probably close to a penny. But I think what is really happening is the warrant will be kept on until they can buy up retail shares as people lose interest and sell.

Looks to me this loan has been made to transfer the majority ownership to someone behind the scenes going through Alumni...and that is most likely people in China who can make this company "in"...and all of these ventures will be successful. We just need the warrants to clear up so the stock will be free to climb. We will never get the big grand slam this could be...but if the price can fluctuate we should realize a nice gain. Shame though.

Just think if he had executed the 1/2000 reducing the OS to 1.15 million....and now we have profits of 15-20 million a year. stock would go from 2.00 after RS to probably 50 right now.

Instead we had 75% of the company sold for a total of a couple million. And because of the warrants we can't even get the stock to move at all.

Looks like we have been had. No explanation from the ceo for the loan when millions are flowing in to the company....and he knew the money was coming. Seems Alumni is being used as a middle man to transfer the majority of the stock, control or the company, and diversion of money to them....whoever in China is them...probably corrupt officials in their government.

Glad I played this one down the middle, got my stoke back plus a small profit, and hang onto the rest to see if this eventually unlocks for the retail investors.

Now that they are doing this dilution these loans will create...it is not really a smart move to RS. These loans will effectively give 75% ownership to Alumni. If Deng...who knew the licensing revs were coming and the streaming on ABQQ. TV....would have RS at 1/2000 it would have put the OS at 1.15 million with a year end profit of 250K...that would be .22/share. Yes you would have less shares but the price would adjust up to equal. For example if he had executed when pps was .001 it would go to 2.00. What comes next? Well if you take the .22/share x a normal 16x P/E the price would adjust up to 3.20...and even more looking at the 150-250k revs projected to BEGIN the streaming in Nov and only to "significantly" grow as movies are added. Then the company could have floated 1 million shares and ask 4.00 and funded the capital needed for the movie distro subsidiary so necessary to do biz in China. We would have been set up perfectly...and so would Deng. But he screwed it all up.

Did it occur to anyone that the real intention is to eventually reneg on the loan agreement? ABQQ just has that floating around to keep the price low so that they and other individuals can buy shares at a really low price, then have the SP go up to pennies? Makes a lot of sense to me.
